Dr. Rajni has been involved in a several crucial projects in diverse areas of law including Real Estate development and redevelopment projects, construction contracts, stamp duty, tax.
She has extensive experience in representing various Indian and foreign companies, including major multinational corporations, on issues relating to regulatory approvals, foreign investments, foreign collaborations, company law, joint ventures, mergers and acquisitions, general corporate work, including advising companies on corporate and business compliance, corporate governance, labour and employment laws, general commercial transactions and corporate litigation.
She has vast experience and expertise in negotiating and preparing project finance documents, structured banking transactions, corporate and retail banking documentation.
She advises clients on issues relating to banking law, foreign direct investment policy, foreign exchange laws and securities law including FEMA/corporate law issues, FDI/ODI, commercial agreements and their negotiations including providing opinions on complex legal issues.
Her scope of advice includes structuring corporate transactions in compliance with foreign exchange laws, advice on entry and exit strategies to foreign investors, acquisition of listed companies in compliance with Takeover Regulations, legal due diligence, seeking approvals and registrations with various government and other bodies.
Her experience in capital markets includes handling domestic public issues and rights issues, overseas listing including Global Depository Receipt (GDR), Foreign Currency Convertible Bond (FCCB) issues and Alternative Investment Market (AIM) listing, conducting legal due diligence, drafting and negotiating related agreements and documents.
